Terms of service

These Terms of Service ("Terms") govern your use of vitalvial.com.au and any purchase you make from Vital Vial Pty Ltd (ABN 23 699 153 038). By using our website or placing an order, you agree to these Terms. Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded.

1.  About us

Vital Vial Pty Ltd is a Queensland company that produces functional mushroom liquid extracts at its licensed food premises in Redbank Plains, Queensland. Our online store is hosted on Shopify.

2.  Eligibility

You must be at least 18 years old to purchase from our website. Our liquid extracts contain alcohol (ethanol) as part of the extraction and preservation process.

3.  Products and health information

•      Our products are sold as foods. They are not medicines and are not intended to diagnose, treat, cure or prevent any disease.

•      Information on our website, labels and social media is general information only and is not medical advice.

•      Consult a qualified health professional before use if you are pregnant, breastfeeding, taking medication, have a medical condition, or are avoiding alcohol.

•      Use only as directed on the label. Check the ingredient list before use if you have any allergies. Keep out of reach of children.

•      Product images are for illustration. Labels and packaging may vary slightly between batches.

4.  Certificates of Analysis

Each batch is tested and a Certificate of Analysis (COA) is linked from the QR code on the label. COA results relate to the specific batch tested and are provided for transparency. They are not a guarantee of any health outcome.

5.  Pricing and payment

•      All prices are in Australian dollars (AUD).

•      Vital Vial is not currently registered for GST, so no GST is included in or added to our prices.

•      Payment is processed securely through Shopify and its payment partners. We do not store your full card details.

•      We may change prices at any time, but the price shown at checkout applies to your order.

•      If a product is listed at an incorrect price due to an obvious error, we may cancel the order and refund you in full.

6.  Orders

Your order is an offer to buy. A contract is formed when we dispatch your order. We may decline or cancel an order, for example where stock is unavailable, an error has occurred, or we suspect fraud. If we cancel, we will refund any amount paid in full. We may also limit order quantities per customer or household.

7.  Shipping and delivery

•      We ship within Australia and to New Zealand using Australia Post.

•      Orders are usually dispatched within 1 to 2 business days of payment.

•      Delivery times are estimates provided by the carrier and are not guaranteed.

•      Risk in the goods passes to you on delivery to the address you provide. Ownership passes once we receive payment in full.

•      Shipping costs are shown at checkout before you pay.

8.  Refunds and returns

Refunds and returns are handled under our Refund and Returns Policy, which forms part of these Terms.

9.  Intellectual property

All content on this website, including text, images, logos, label designs and the Vital Vial name, is owned by or licensed to Vital Vial Pty Ltd. You may not copy, reproduce or use it for commercial purposes without our written permission.

10.  Acceptable use

You must not use our website in a way that is unlawful, interferes with its operation, attempts to gain unauthorised access, or infringes the rights of others.

11.  Limitation of liability

To the extent permitted by law, and subject to your rights under the Australian Consumer Law:

•      we are not liable for any indirect or consequential loss arising from your use of our website or products

•      where our liability for failure to comply with a consumer guarantee can be limited, it is limited to replacing the goods, supplying equivalent goods, or refunding the price paid

•      we are not liable for loss caused by using a product other than as directed on the label

12.  Privacy

We collect and handle your personal information in line with our Privacy Policy and the Privacy Act 1988 (Cth). We use your details to process orders, provide support and, if you opt in, send marketing you can unsubscribe from at any time.

13.  Third-party links

Our website may link to third-party sites, such as research publications or social media. We are not responsible for their content or practices.

14.  Changes to these Terms

We may update these Terms from time to time. The version published on our website at the time of your order applies to that order.

15.  Governing law

These Terms are governed by the laws of Queensland, Australia. You and Vital Vial submit to the non-exclusive jurisdiction of the courts of Queensland.

16.  Promotions and discount codes

Discount codes and promotions are subject to the conditions stated when they are offered. Unless stated otherwise, only one code can be used per order, codes cannot be exchanged for cash, and we may withdraw a promotion at any time without affecting orders already placed.

Bundle discounts (15% off any 2 extracts, 20% off 3 or more, 30% off 5 or more) and our launch offer are applied automatically at checkout. Bundle discounts also apply to subscription orders. Only one automatic offer applies to each bottle: where more than one could apply, you receive the one that saves you the most.

Automatic offers can be combined with our newsletter welcome code and with free shipping offers. Creator and partner codes cannot be combined with other discounts or offers; where you enter one, you receive whichever saves you the most.

17.  Wholesale and stockist orders

These Terms apply to retail purchases through our website. Wholesale, stockist and distributor orders are governed by our separate trade terms, available on request from hello@vitalvial.com.au.

18.  Events outside our control

We are not liable for delays or failure to perform caused by events reasonably outside our control, such as carrier disruption, natural disasters, supply shortages or government action. We will keep you informed and offer a refund if your order cannot be fulfilled.

19.  Severability

If any part of these Terms is found to be invalid or unenforceable, that part will be read down or removed, and the rest of these Terms will continue to apply.

20.  Reviews and feedback

If you submit a review, comment or feedback, you grant us a non-exclusive, royalty-free licence to use it, for example on our website or social media. You must not submit content that is false, misleading, defamatory, unlawful or infringes anyone's rights. We may remove any content at our discretion.

21.  Indemnity

To the extent permitted by law, you agree to indemnify Vital Vial against loss or claims arising directly from your breach of these Terms or your violation of any law or third-party right.

22.  Suspension of access

We may suspend or end your access to our website if you seriously breach these Terms. This does not affect orders already paid for, or your rights under the Australian Consumer Law.

23.  Entire agreement

These Terms, together with our Refund and Returns Policy and Privacy Policy, form the entire agreement between you and Vital Vial for purchases through our website.
